1. Introduction and Aim

INERCO, a technology-based business group, is committed to innovation, promoting the attraction of talent and the transferal of knowledge and opting for encouraging entrepreneurship.

INERCO’s mission is to contribute to sustainable industrial development with advanced products and services in the fields of Engineering, the environment, Industrial Safety and Risk Prevention.

Innovation has formed part of INERCO´s DNA since its origin in 1984, as a result of the concerns of its founders. Since then, INERCO has grown to become an international reference with offices in eight countries, projects in over 70 and a team of 600 professionals.

In this framework, the INERCO Open Innovation Programme has the objective of identifying and supporting the talent of entrepreneurs and recently-created businesses, with an innovative and original business idea, capable of generating sustainable wealth.

To this end, INERCO is offering, among other advantages:

  • Access to their network of clients and business partners.
  • The chance to use and integrate the initiative with INERCO assets.
  • Entry to global markets and internationalisation.

2. Structure of the Programme

The INERCO Open Innovation Programme was conceived with the format of an open call for proposals, with two dates a year for the closing of application submissions and selection of accepted participants, and with the aim of enabling the insertion of initiatives into the business and production environment.

To this end, INERCO is offering applicants who are accepted to the Programme spaces for its implementation, technical and management support, training and mentoring for the development of their idea and the chance to accelerate the development of their business initiative through development and marketing agreements with INERCO.

3. Target Audience

Eligible to participate in the INERCO Open Innovation  Programme is any individual or legal entity with an innovative business project:

  • With high growth potential.
  • Whose objective is linked to INERCO’s areas of activity in the fields of Energy and industrial HSE (Health, Safety and Environment).
  • Preferably aimed at one or more of the following sectors:
    • The chemical, petrochemical, oil and gas and/or electricity generation industries.
    • Infrastructures and large-scale Civil Work projects.
    • Large Industrial engineering companies.
    • Public administrations.

The call for proposals is open to initiatives from any part of the world.

4. Application Process

Applicants must submit the following documentation:

  • Application form duly filled out, according to the web questionnaire.
  • Express authorisation of participants for INERCO to use and distribute synopses or informative material about the submitted projects (Appendix I).
  • Statement of compliance (Appendix II) that:
    • The initiatives submitted are original, do not violate the rights of third parties or regulatory provisions and are free from charges and levies.
    • Their authors are not linked, directly or indirectly, to people or entities whose activity enters into competition, direct or indirectly, with that of the submitted project.
    • Their authors do not have any type of link, directly or indirectly, to people or entities who are competition, direct or indirectly, for any company in the INERCO Group.

5. Application Submission Deadlines

As a first date for the closing of application submissions, applications can be submitted until 10pm GMT on June 30th 2019, proof of having complied with this deadline being the registration date on the online form of the programme at INERCO.

Given the nature of the Programme as an open call for proposals, there will be two deadlines a year for application submission: 10pm GMT on June 30th and 11pm GMT on December 31st, after each, a selection process for candidates will begin.

6. Assessment Criteria

The criteria for the assessment of the accepted projects will be the following:

  • The originality and level of innovation of the idea: new product, service or process, improvements on existing ones, aspects that differentiate it from other similar options, protection formulas for the exclusiveness of the idea or business, etc.
  • The level of plausibility for the practical realisation of the business idea or business project.
  • The level of development of the project, or, in the event of a recently created business, the level of implementation of the initiative that is being assessed.
  • The economic and financial viability of the project.
  • The sustainability and potential for growth of the business model.
  • The level of linkage with INERCO’s areas of activity and strategic sectors.
  • The exhibition and presentation of the project before the judging panel, for the projects that become finalists.

7. Advantages for the awarded participants

In each candidate selection process, incorporation onto the programme will be offered to a maximum of four applicants, who will receive from INERCO the following:

  1. Consultancy and mentoring, by INERCO’s corporate services, in questions of business management and business, economic-financial, legal and human resources development.Given that the call for proposals is aimed at entrepreneurs who propose an innovative business idea, which has to be the basis for a business project to be developed in the medium term, the support the awarded participants will receive from the INERCO specialists will comprise the works needed to define an overall sustainable business project based on the business idea submitted.
  2. An amount in cash from 3,000 euros as an economic support for the starting off of the activity of the awarded initiatives, which has to be completely invested into the launching or improvement of the initiative.INERCO will proceed to the payment of the economic provision after the judging panel has made their final judgement and the managers of the selected initiatives have provided the detailed report of the investment and spending concepts, which will be supervised in advance by INERCO.
  3. INERCO’s commitment to value and realise, where appropriate, and in agreement with the proponents or the initiative, their participation in the proposed business project.INERCO’s participation may include:
    • The use of INERCO’s technical abilities for the joint development of the initiative.
    • The analysis of markets and channels for the joint marketing of the products.
    • The localisation of clients for the development of pilot units.
    • The joint development of the business project.
    • etc.
  4. The free allocation of a sufficient (at INERCO´s sole discretion), independent space with technological infrastructures reasonable necessary for the development of the planned activities, in an encouraging business environment, well placed in the INERCO Building in Seville or in any of the existing headquarters of the INERCO Group worldwide, in other parts of Spain, Portugal, Colombia, Peru, Chile, Brazil, Mexico, USA and other locations that may be available at the point of selection. This space allocation will be regulated in a specific agreement to be signed by INERCO and the awarded participants.This allocation will be given initially for a period of six months for up to 5 more consecutive half-year periods, based on the evolution and potential demonstrated by the project. The application of each of these extensions will be decided upon by INERCO, upon the prior request of the awarded participant, after the evaluation of the project to be done before the end of month 5 of each half-year period.

INERCO will collect the taxes deriving from compliance with the tax regulation in force, corresponding to the awarded participants for any tax or levy deriving from the collection of the award.

8. Judging panel and final judgement procedure of admission to the programme

The assessment and selection process of the submitted initiatives will be undertaken by a judging panel appointed by INERCO, consisting of at least two appointments from the INERCO Group, one of which will be the President of the panel and the other will act as Secretary.

The evaluation and selection process of the initiatives will be assigned to a technical and scientific judging panel appointed by INERCO, who will select the finalist initiatives for presentation of an elevator pitch to the panel before the final decision.

The Judging panel will assess the applications and will select the finalist projects, whose members will present an elevator pitch, in person or remotely depending on their location, to the panel before the final decision in a session convened for that purpose.

After the presentation of all the applications, the Judging Panel will select the initiatives that it considers to be the best. The Judging panel could at its own discretion not to select any initiative if none of the applications meet applicable requirements.

The final result will be published on INERCO’s web page (www.inerco.com), on the website of the project (www.inercoopeninnovation.com), as well as in the media and communication tools that INERCO considers appropriate.

The final decision of the judging panel will not be subject to appeal and their assessments and deliberations will be confidential.

9. Modifications and liabilities

INERCO reserves the right to temporarily suspend or cancel  any Call for Proposals. The participants will have no right to any compensation whatsoever.

10. Confidentiality

Without prejudice to the provisions of paragraph XII of these Bases, the content of the ideas that are submitted to the call for proposals of the INERCO Open Innovation Programme, as well as all the data, documentation and information of any type that are provided, will be confidential and restricted and will be thus handled, by INERCO as well as by the people who make up the judging panel.

Purpose of data processing:  Control and management of those registered for the prizes, the communication with them and the management and administration of the activity. Publication of your name, including your image on the websites and publications of this entity in the case of being awarded.

11. Acceptance and interpretation of the bases

Participation in the call for proposals of the INERCO Open Innovation Programme presupposes complete acceptance of their terms and conditions and express submission to the interpretative decisions of the bases carried out by the Judging Panel.

INERCO will not be held responsible in any case for any actions, claims or conflicts that may arise due to the participants’ failure to comply with these bases.

12. Commitments of the awarded participants

The participants accept and commit to fulfilling the following commitments:

  • To develop and try to exploit the selected project.
  • To give complete dedication to the development of the project and remain linked to it contractually, as business partners and a promoter team.
  • Not to make any type of link, direct nor indirect, with people or entities whose activity enters into competition, direct or indirectly, with that of the project or with that of the INERCO Group.
  • To participate in the programme respecting the regulations and instructions that INERCO provides for them to that effect and to collaborate with the rest of the participants in the conservation and use of the resources made available to them.
  • To enable INERCO’s access to the documentation and information of the project required for the development of the project.
  • To reflect in their advertising leaflets, web pages or any other promotional material, in a suitably prominent location, INERCO’s sponsorship or support in their initiative. They must also reflect this sponsorship in appearances in the press. In any case, the awarded participants commit to respecting and applying the regulation on the use of brands and logos which, for those purposes, may be provided by INERCO.

In the event of a breach of any of these commitments the advantages set out in paragraph 6 could be withdrawn and the advantages effectively received could be reimbursed.

13. Intellectual and industrial property rights and image rights

The intellectual and industrial property rights of the projects and their content belong to the creators of the respective pieces of work and their legitimate owners. Accordingly, it will not be permitted to use or distribute material without the express consent of the owners of this material.

Notwithstanding the foregoing, each participant will authorise the dissemination of the names and general characteristics of the initiatives and projects submitted in the framework of the actions of these awards, for the purposes of the promotion and dissemination of this competition as well as for informative purposes, present or future, that INERCO considers appropriate as the organising entity.

In addition, in the event of being selected, they consent to the publication of their name, including their image, on INERCO’s web pages and in their printed and/or digital publications of commercial dissemination and promotion. These authorisations do not confer them the right to any economic compensation nor compensation of any other type. However, the content or material used in each case must receive the express approval of the creators of the project.

The participants authorise INERCO to invite specialised and/or general press to cover stages of the programme.

Additionally, they commit to offering information when it is required in order to make monitoring indicators and authorise INERCO to publicise and disseminate the advancements undergone by the awarded initiatives.

The participants will make a statement of compliance that the proposals that are submitted are original, and the granting of use mentioned in the above paragraph does not violate the rights of third parties of any nature or regulatory provisions and that they are free from charges or levies, and they shall indemnify and hold INERCO harmless against any third party claims.

14. Legal framework

These bases comprise the legal framework of the call for proposals and will be interpreted in a reasoned manner at the discretion of the organising company and their representatives on the judging panel of the awards.

Spanish law governs this Programme. Any issue deriving from the application of, interpretation of or compliance with the Bases of the Programme or any documentation generated in and for this Programme shall be resolved before the Courts and Tribunals of Sevilla (Spain). Participants, expressly renounce any other law or jurisdiction to which they might be entitled.

These Beses have been translated into English language. In the event of any disagreement, dispute, controversy, or contradiction between these and its English translation occurs, will prevail for all purposes the rules written in Spanish language.
